1.⁠ ⁠Introduction

These Terms & Conditions (“Terms”) govern all use of the services, products, and performances offered by Xuan Music (“we”, “us”, “our”). By placing an order, booking a performance, or accessing our website, you agree to be bound by these Terms.

If you do not agree with these Terms, please refrain from using our services

2.⁠ ⁠Definitions

• Digital Products: Sheet music, audio files, digital downloads, or other non-physical goods delivered electronically.

• Physical Products: Printed sheet music, merchandise, or any tangible items.

• Performance / Engagement: Any live musical performance, show, concert, or event provided by us.

• Client / Customer: Any individual or entity purchasing products or booking services.

3.⁠ ⁠Prices & Payment

All prices are listed in the applicable currency and include VAT where required by law.

Full payment must be completed before any order, download, or performance booking is confirmed. We accept the payment methods displayed at checkout or described in our invoice.

4.⁠ ⁠Orders for Products

4.1 Digital Products

• Digital products are delivered via email or download link immediately after payment.

• Due to the nature of digital goods, all sales of digital products are final and non-refundable.

4.2 Physical Products

• Orders are shipped to the address provided by the customer.

• Any customs duties or import fees are the responsibility of the customer.

5.⁠ ⁠Delivery

Delivery times are estimates only. We are not liable for delays caused by carriers or circumstances outside our control.

Digital downloads are considered delivered once the email or download link is sent. By use of Apple Pay or Google Pay you don't receive an email, it any case it is always the best way to download your purchase immediately after purchase on the order confirmation screen.

6.⁠ ⁠Right of Withdrawal (EU Customers)

For physical products, EU customers may withdraw their purchase within 14 days of receipt, provided the item is unused and in its original condition.

Digital products are exempt from the right of withdrawal once the download has begun or access has been granted.

7.⁠ ⁠Performance & Engagement Terms

7.1 Scope of the Performance

A performance agreement includes:

• The date, time, and duration of the event

• The performance location

• Technical and logistical requirements

• The agreed fee and payment terms

• Any additional services (e.g., rehearsal time, travel, equipment)

The Client must ensure the venue and technical setup (such as sound system, stage area, electricity, lighting) meet professional performance standards unless otherwise agreed.

7.2 Performance Fee & Payment

• A non-refundable deposit of 25% of the total fee is required to secure the booking.

• The remaining balance must be paid no later than 14 days before the event (or immediately for last-minute bookings).

Failure to pay on time may result in cancellation by us.

7.3 Cancellation Policy (Performances)

Cancellation by Client:

• More than 21 days before the event:

Only the deposit (25%) is is due and must be paid if not yet paid.

• 21 days before the event:

50% of the total fee is due.

• Less than 14 days before the event:

100% of the total fee is due.

• Same-day cancellations:

The full fee plus any additional incurred costs (travel, equipment rental) are payable.

Cancellation by Xuan Music:

In the rare case we must cancel due to illness, emergency, or force majeure:

• We will notify the Client as soon as possible.

• Any payments received will be refunded.

• We may attempt (but do not guarantee) to offer a suitable replacement performer.

7.4 Force Majeure

We are not liable for non-performance caused by events beyond our control, including illness, accidents, natural disasters, transportation failures, or government restrictions.

8.⁠ ⁠Intellectual Property

All digital products, sheet music, compositions, recordings, text, images, and all other creative works are protected by copyright.

You may not reproduce, distribute, or publicly perform our materials without prior written permission.

Purchasing a product does not transfer copyright ownership.

9.⁠ ⁠Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

• Indirect or consequential damages

• Loss of profits

• Technical failures or delays outside our control

• Misuse of our products or services

Our total liability is limited to the amount the customer paid for the product or performance.

10.⁠ ⁠Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on our website. Changes apply only to future transactions.

11.⁠ ⁠Disputes & Governing Law

These Terms are governed by the laws of The Netherlands.

Any disputes shall be submitted to the competent court in Amsterdam, The Netherlands, unless mandatory EU consumer protection laws specify otherwise.
